Omnicom to Issue $550 Million of Convertible Debt

NEW YORK, June 3 /PRNewswire-FirstCall/ -- Omnicom Group Inc. (NYSE: OMC) announced that it has agreed to sell $550 million of zero-coupon, zero- accretion convertible notes due 2033. The initial purchasers will have a 13-day option to purchase up to $50 million of additional notes.

The net proceeds of the transaction will be applied by Omnicom to retire debt and for other general corporate purposes.

The notes are not redeemable by Omnicom before 2010. On June 15 of each of 2006, 2008, 2010, 2013, 2018, 2023 and annually thereafter, noteholders will have the option to require that Omnicom or a financial institution designated by it repurchase the notes at par.

This release does not constitute an offer to sell or the solicitation of an offer to buy securities. The notes will be reoffered by the initial purchasers only to qualified institutional buyers. The notes and the common shares issuable upon conversion have not been registered under U.S. or state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
