Omnicom Group Inc. Streamlines Board of Directors; Harvard Law School Dean Robert Charles Clark Nominated to Board

NEW YORK, April 12 /PRNewswire-FirstCall/ -- Omnicom Group Inc. (NYSE: OMC) announced that it will reduce the size of its Board of Directors from 17 to 11 at Omnicom's annual shareholders meeting on May 21, 2002. Accordingly, seven current directors, who are also Omnicom executives, have decided to either not stand for re-election or to resign their Board seats after the annual meeting.

At the same time, Robert Charles Clark has been nominated for election as a director at Omnicom's upcoming annual shareholders meeting. Mr. Clark, age 58, is currently Dean of the Harvard University Law School. "Bob Clark is an excellent addition to our Board of Directors, and we are delighted that he's agreed to join us," said John Wren, Omnicom's President and Chief Executive Officer.

The new Board will consist of nine non-employee directors, Bruce Crawford, the Board's Chairman, and Mr. Wren.

"The composition of our Board of Directors, which currently has 17 members and a majority of non-employee directors, has remained essentially the same since our company was founded in 1986. With several management transitions in the last year as well as the upcoming expiration of the terms of five of the seven directors, we thought it was an appropriate time to consider our long-term objective of modifying our Board composition," Mr. Wren said.

As a result, BBDO Worldwide Vice Chairman and CFO Jim Cannon, Omnicom Executive Vice President Michael Greenlees, Diversified Agency Services Chairman and CEO Thomas Harrison, TBWA Worldwide President and CEO Jean-Marie Dru and DDB Worldwide Vice Chairman Bernard Brochand have chosen not to stand for reelection when their current terms expire in May. DDB Worldwide Chairman Keith Reinhard and BBDO Worldwide Chairman and CEO Allen Rosenshine, whose current terms do not expire until 2004, will resign from the Board effective immediately following the May annual shareholders meeting.
